Nissan announces management changes to support the successful implementation of NISSAN 180
 

Tokyo - Nissan announced changes of its management and organization to accelerate the implementation of NISSAN 180, the company's three-year plan for profitable growth. The changes become effective on April 1, 2003.

"As we successfully complete the first year of the NISSAN 180, we continue to adapt our organization in order to better support our operations in our quest to deliver fully on our 3-year plan." said Nissan President and CEO Carlos Ghosn.

Top management changes

Board of Directors

A resolution amending the articles of incorporation of the company will be proposed at the Annual General Shareholders' meeting on June 19, 2003 asking to introduce a co-chairmanship of the board.

 

Mr. Yoshikazu Hanawa will retire as chairman of the board and will not seek re-election as a board member at the Annual General Shareholders' meeting. Mr. Hanawa will become an advisor and honorary chairman.

Subject to approval for re-election as members of the board by the shareholders, Mr. Carlos Ghosn and Mr. Itaru Koeda will be proposed as co-chairmen of the board and representative directors at Board of Directors following the Annual Shareholders' Meeting on June 19, 2003 in addition to their current responsibilities.

Mr. Thierry Moulonguet, Nissan's current chief financial officer and EVP, will not seek re-election when his term expires on June 19, 2003.

As a consequence of these moves, the board of directors will comprise seven members compared to the current nine.

Executive Committee

The number of Executive Committee members will be expanded temporarily from the current eight to ten members, from April 1 to June 19, 2003.

Mr. Toshiyuki Shiga will join the Executive Committee as senior vice president in charge of General Overseas Markets (GOM) operations. He will also chair the Management Committee-GOM.

Mr. Alain-Pierre Raynaud, currently senior vice president and controller of Renault, will join Nissan's Executive Committee as senior vice president, global controller.

Mr. Hanawa and Mr. Thierry Moulonguet will leave the Executive Committee after the Annual Shareholders' Meeting on June 19, 2003.

Corporate Officers

Effective March 31, 2003, four senior vice presidents -- Mr. Hajime Kawasaki, Mr. Takashi Kitajima, Mr. Kuniaki Sasaki and Mr. Shigeru Takagi -- will resign. Effective the same day, one vice president, Mr. Kiyoto Shinohara, and one regional vice president, Mr. Yoshikazu Ishizaki, will also resign.

The responsibilities of senior vice president Eiji Imai will be expanded to include the Customer Services Division. He will report directly to the President. In addition to Mr. Raynaud, two senior vice presidents will be appointed, effective April 1, 2003: Mr. Hiroto Saikawa in charge of the Purchasing Operations and Mr. Sadao Sekiyama in charge of the Vehicle Production Engineering Division.

Effective April 1, 2003, four new vice presidents will be nominated: Mr. Guillaume Gerondeau, Product Strategy and Product Planning Division, reporting to the President; Mr. Kimiyasu Nakamura, Vehicle Design Engineering Division No. 2 and Vehicle Component Engineering; Mr. Joji Masuda, Cost Engineering Division; and Mr. Akira Koyama, Supply Chain Management Division.

Two regional vice presidents will also be appointed, effective April 1, 2003: Mr. Toshiharu Sakai, plant manager of the Yokohama Plant, and Mr. Kiyoshi Higuchi, plant manager of the Tochigi Plant.

Mr. Teruo Takebe, currently regional vice president and plant manager of the Tochigi Plant, will take a new assignment at Nissan Motor Iberica in Spain, effective April 1, 2003.

Key Organization changes

In order to better coordinate the performance improvement of domestic subsidiary dealers, Mr. Norio Matsumura, executive vice president, will chair the Management Committee-Dealers, which will start operating in April.

In Human Resources, four "Career Coaches" are being appointed to provide necessary HR-related expertise for employee appointments and transfers.

Global Nissan Sales Service Way (NSSW) will be established to strengthen sales and service processes worldwide.
